5. Fees and Payments

• Ongoing services may operate on a recurring monthly basis
• Payments are due by the stated due date
• Late payments may result in paused work, restricted access, or suspension of services

We reserve the right to update pricing with reasonable notice.

6. Cancellations and Termination

Either party may terminate ongoing services by providing reasonable notice unless otherwise agreed in writing.

Where services are subscription-based or monthly:

• Cancellation applies from the next billing cycle unless otherwise agreed
• No partial refunds are provided for work already completed or billing periods already commenced

We may suspend or terminate services where:

• Payments remain overdue
• These Terms are breached
• Abuse, unlawful behaviour, or misuse occurs

7. Refund Policy

Unless otherwise required by law or agreed in writing:

• Payments for completed work are non-refundable
• Monthly retainers, subscriptions, and project deposits are non-refundable once work has commenced

8. Intellectual Property

You retain ownership of materials you provide to us, including:

• Logos and branding

• Images and media
• Business information

You grant us permission to use such materials solely for the purpose of providing services.

Deliverables

Upon full payment, you retain rights to final approved deliverables created specifically for your business, unless otherwise agreed.

Our Intellectual Property

We retain ownership of:

• Internal systems and processes
• Proprietary tools
• Templates and frameworks
• Pre-existing intellectual property
• Software and automation systems

9. SEO and Marketing Disclaimer

While we apply professional skill and experience to all campaigns, we do not guarantee:

• Specific search engine rankings
• Traffic increases
• Leads, sales, or revenue outcomes
• Continuous positioning on search engines
• Approval or performance on advertising platforms

Search engines and advertising platforms are controlled by third parties and are subject to ongoing changes outside our control.

10. Website and Technical Services

Where we provide website or technical services:

• You are responsible for maintaining ownership and access to relevant accounts where applicable
• We are not liable for downtime caused by third-party hosting providers, plugins, software vendors, registrars, or external services
• You are responsible for maintaining backups unless explicitly included in your service agreement

11. Acceptable Use

You agree not to use our services to:

• Violate laws or regulations
• Infringe third-party rights
• Distribute harmful, unlawful, or misleading content
• Engage in spam or abusive behaviour
• Misuse systems, hosting, or integrations

We reserve the right to suspend services where misuse occurs.

12. Limitation of Liability

To the maximum extent permitted by law, Platinum78 Digital Ltd shall not be liable for:

• Indirect or consequential losses
• Loss of revenue, profits, business, or opportunities
• Search ranking fluctuations
• Third-party platform actions or restrictions
• Data loss, downtime, or technical interruptions beyond our reasonable control

Our total liability shall not exceed the total amount paid by you to us during the 12 months preceding the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

13. Indemnification

You agree to indemnify and hold harmless Platinum78 Digital Ltd against claims, damages, liabilities, or expenses arising from:
